Answer:

According to AGM Protocol #1 dd. 25.06.2009 (excerpts from the protocol is available here: http://www.mrsk-ural.ru/content/files/IR%20AGM%20Protocols/AGMprotocoleng.pdf) the shareholders adopted the following resolution on the first agenda issue, stipulating profit distribution:

Therefore, this means that, according to shareholder resolution, the Company has not paid 2008-2009 dividends. One portion of profit, according to shareholder resolution, was distributed to the reserve fund, the rest was distributed to enterprise development.

According to Russian legislation extraordinary shareholder meeting is convened in the following cases:

  • According to BoD decision (based on its own initiative);
  • At request of the Company’s audit commission;
  • At request of the Company’s auditor;
  • At request of shareholder (shareholders) possessing no less than 10 percent of the voting shares.
