RESULTS OF THE COMPANY’S BOARD OF DIRECTORS SESSION

ОАО “IDGC of Urals” (RTS and MICEX: MRKU), united operating company of the Urals region exercising control over distributive grid complexes in Sverdlovsk, Chelyabinsk, Kurgan and Perm regions – reports on the results of the Company’s BoD session.

December 26, 2008 saw an extramural BoD session which decided over the following agenda issues:

- On terminating powers of Irina Yuldasheva (CFO), Management Board member, and election of Yuri Lebedev, Chief Operating Officer, as a Management Board member;

- On approving Regulations on Internal Control Procedures of OAO “IDGC of Urals”.

9 out of 11 BoD members took part in the BoD session. The quorum was reached.

Therefore, since January 11, 2009 the Company’s Management Board includes:

Change of the Management Board membership will enable the Company to exclude potential conflict of interests between the collegial executive body and the Company’s management and control bodies.

The BoD also approved Regulations on Internal Control Procedures. Adoption of the document enables the Company to secure fundamentals of internal control system for providing transparency of executive body’s activities and protection of shareholder rights.
