Company’s HistoryOpen joint-stock company "Interregional Distributive Grid Company of Urals" was incorporated on February 28, 2005 in Ekaterinburg (the Urals) in the course of the Russian energy sector reforms following differentiation of companies which produce, transfer, distribute and sale electric and heat energy as well as operating dispatcher management into separate business units. Main variant of the Russian distributive grid complex reform supposed the creation of interregional distributive grid companies (IDGCs) as well as interregional integration of regional distributive companies in IDGCs within the united energy systems. According to the first IDGCs configuration, with a view to effective operation, development and reliability of the distributive complex within the united energy systems of the Urals and Middle Volga, the company included (till August 2007 our Company name was ÎÀÎ "IDGC of Urals and Volga") 15 DGCs - regional discos: ÎÀÎ "Kirovenergo", ÎÀÎ "Kurganenergo", ÎÀÎ "Marienergo", ÎÀÎ "Mordovenergo", ÎÀÎ "Orenburgenergo", ÎÀÎ "Permenergo", ÎÀÎ "Penzaenergo", ÎÀÎ "Samara distributive company", ÎÀÎ "Saratov distributive company", ÎÀÎ "Sverdlovenergo", ÎÀÎ "Tyumenenergo", ÎÀÎ "Udmurtenergo", ÎÀÎ "Ulyanovsk distributive company", ÎÀÎ "Chelyabenergo" and ÎÀÎ "Chuvashenergo". The second IDGC configuration was formed in compliance with territorial contingency and corresponding balance cost of DGC's assets which comprised the corresponding IDGCs. According to the configuration OÀÎ "IDGC of Urals" included: ÎÀÎ "Sverdlovenergo", ÎÀÎ "Chelyabenergo", ÎÀÎ «Permenergo» and ÎÀÎ "Kurganenergo". In August 2007 due to the changes in IDGC configuration amendments were made into our foundation documents, and the company received its new name - Open joint-stock "Interregional Distributive Grid Company of Urals" (OAO "IDGC of Urals" for short). In December 2007 Federal Antimonopoly Service of Russia approved our reorganization in the form of the merger of ÎÀÎ "Sverdlovenergo", ÎÀÎ "Chelyabenergo", ÎÀÎ «Permenergo» and ÎÀÎ "Kurganenergo". Also in December 2007, to convert the shares of the merged companies, the EGM of OAO "IDGC of Urals" made a decision to increase the Company's charter capital by issuing common shares. These shares were placed by converting of the merged companies shares into them. In January 2008 the EGMs of ÎÀÎ "Sverdlovenergo", ÎÀÎ "Chelyabenergo", ÎÀÎ «Permenergo» made decisions to be reorganized in the form of the merger and also approved the merger agreement as well as the transfer act. In relation to ÎÀÎ "Kurganenergo", which is also in the Company's service area, by virtue of the fact that Kurganenergo shareholders did not approve the merger, OAO "IDGC of Urals" was formed as a holding company. The reform process ended on April 30, 2008 by introducing to United State Register of Legal Entities information on discontinuation of activities of OAO "Sverdlovenergo", ÎÀÎ "Chelyabenergo", ÎÀÎ «Permenergo» as a result of the merger into OAO "IDGC of Urals". These merged companies became subsidiaries of OAO "IDGC of Urals". Therefore, as a result of the Company's reorganization we are the largest operating company in the Urals region which provides energy transportation and technological connection to electric networks in Sverdlovsk, Chelyabinsk and Perm regions.
2010 KEY EVENTS July Chelyabenergo branch of IDGC of Urals, OAO put into beta testing new telementric equipment enabling to monitor equipment operation on-line. IDGC of Urals, OAO presented its long-term grid energy efficient program at the Urals international exhibition "INNOPROM-2010"..
June Sverdlovenergo branch of OAO "IDGC of Urals" completed overhaul of PS "Monetka". The Government of the Sverdlovsk region signed an agreement with OAO "IDGC of Urals" on cooperation in social, economic and ecological spheres within strategic regional development. Annual General Shareholder Meeting which approved the annual report. Annual financial statements, including profit and loss statement, as well as 2009 profit and loss distribution. Permenergo branch of OAO "IDGC of Urals" completed overhaul of 110/6 kV PS "Khimgrad" (Perm).
May ÎÀÎ "IDGC of Urals" created Operations Situation Room aimed at collection, analysis and submission of information on technological accidents, emergencies and natural disasters to OAO "IDGC Holding". ÎÀÎ "IDGC of Urals" was acknowledged the best company of the Urals fuel and energy complex in terms of social and economic factors. ÎÀÎ "IDGC of Urals" and Rissuan German Energy Agency signed cooperation agreements on energy-efficicent technologies. Our Permenergo branch completed the reconstruction of 110 kV aerial line "Yayva-TEC-10" and "Lyuzen-ÒÅC-4".
April A new mimic diagram board was launched in Sverdlovenergo subsidiary of ÎÀÎ "IDGC of Urals". Permenergo subsidiary of ÎÀÎ "IDGC of Urals" completed repair process on 4 large substations in Perm. ÎÀÎ "IDGC of Urals" presented its projects during energy-saving meeting. Sverdlovenergo subsidiary of ÎÀÎ "IDGC of Urals" started technical maintenance of Nevyansk grids. ÎÀÎ "IDGC of Urals" presented 2009 RAS results.
March A new mimic diagram board was launched in Sverdlovenergo subsidiary of ÎÀÎ "IDGC of Urals". The construction of a new 220/110 kW substation "Ryabina" began in Ekaterinburg.
February Permenergo subsidiary of OAO "IDGC of Urals" acquired a portable substation with the overall capacity of 10 MVA that will enable the Company to temporary provide energy to new objects as well as to carry out required maintenance and repair activities with no breaks in consumer energy supply. Chelyabenergo subsidiary of OAO "IDGC of Urals" began a complete overhaul of aerial line "Yuryuzan-Bakal" that will enable to increase energy supply reliability in Kropachevo-Privalovskyi industry cluster. January Permenergo, the Company's subsidiary, completed reconstruction of 35 kW line ("Tyagovaya - Borovsk") which plays an important role in energy supply of the Solikamsk industry cluster Permenergo, the Company's subsidiary, completed reconstruction of 35 kW lines ("Chusovaya - CHMZ" and "Chusovaya - Levoberezhnaya" which enable to increase energy supply reliability of Chusovskoy Metallurgy Plant and left-side part of a city ÎÀÎ "IDGC of Urals" received a letter of thanks from the Governor and Government of Sverdlovsk region for social and charity activities in 2009

December Launch of PS-110 kW which will increase energy supply reliability in Ozersk. ÎÀÎ "IDGC of Urals" participated in international exhibition "LEP-2008". ÎÀÎ "IDGC of Urals" and Chelyabinsk regional administration signed agreement on facilitating investors in implementation of investment projects in the region. ÎÀÎ "IDGC of Urals" won several nominations in interregional contest "2008 results in Urals and Siberia". Launch of PS-35/6 kW "Hypermarket" which will increase energy supply reliability in Perm. Consortium "RID-Expert RA" - Russian Institute of Directors and rating agency "Expert RA" assigned National Corporate Governance rating at Level 6. The Company's common shares listed into Quotation list B in RTS. November The Company presented 3Q 2008 RAS results. October Launch of PS-110 kW "Petrischevskaya" which will supply energy to Akademicheskiy (Ekaterinburg). The Management Board of Federal Tariff Service decided to implement RAB-regulation in Permenergo. Creation of 4 BoD committees: on audit, strategy and development, reliability, personnel and remuneration. September Merger of additional common share issues on the leading Russian exchanges (RTS and MICEX). Meetings between the Company and Perm regional and municipal administration devoted to implementation of Permenergo investment program were held. August Program providing safe energy supply to SCO objects was signed. ÎÀÎ "IDGC of Urals" presented 1H2008 RAS results. July The meeting of Council devoted to energy security of the region and headed by Authorized President Representative in the Urals Federal District was held. In relation to termination of OAO RAO "UES" and corresponding corporate activities the controlling stake of ÎÀÎ "IDGC of Urals" in the amount of 51.52% previously belonging to OAO RAO "UES" was transmitted to OAO "IDGC Holding". June First transactions with the Company's common shares in Russian Trading System (RTS) and on Moscow Interbank Currency Exchange (MICEX). May First operations of the merged Company. Agreement on transition to a new tariff model was signed with Unified Tariff Organ (UTO) of Chelyabinsk region. ÎÀÎ "IDGC of Urals" redeemed its 02-series bonds according to the offer. April Notes on IDGC of Urals' restructuring and termination of ÎÀÎ "Sverdlovenergo", ÎÀÎ "Chelyabenergo" and ÎÀÎ "Permenergo" were introduced to the Unified State Register of Legal Entities. Agreements between Perm Administration and Regional Energy Commission (REC) of Sverdlovsk region on transition to a new tariff system were signed. The Government of Sverdlovsk region acknowledged ÎÀÎ "IDGC of Urals" "The best company of fuel and energy industry in social economic indicators". ÎÀÎ "IDGC of Urals" was the first among discos to complete implementation of Quality Management System (ISO 9001:2000) in its subsidiaries. January General Shareholder Meetings of ÎÀÎ "Sverdlovenergo", ÎÀÎ "Chelyabenergo" and ÎÀÎ "Permenergo" made a decision on restructuring in the form of a merger into managing company ÎÀÎ "IDGC of Urals".
